If the Company has earnings after its annual closing of accounts, it shall first pay taxes in accordance with the law and offset accumulated losses. It shall then set aside 10% as the legal reserve, unless the legal reserve has reached the Company’s paid-in capital. The remaining amount shall be set aside or reversed as special reserve in accordance with laws and regulations. Any remaining balance, together with accumulated undistributed earnings, shall be proposed by the Board of Directors as an earnings distribution proposal and submitted to the shareholders’ meeting for resolution on the distribution of shareholder dividends and bonuses.
 
Balanced Dividend Policy: The Company’s dividend distribution is mainly based on a balanced dividend policy of cash dividends and stock dividends. The cash dividend payout ratio shall be no less than 10% of the total dividends distributed from earnings for the year. The Company considers its current and future investment environment, capital needs, domestic and overseas competition, capital budget, shareholder interests, balanced dividends, and long-term financial planning.
 
Authorization for the Board to Distribute Cash Dividends: In accordance with the Company Act, when the Company distributes dividends and bonuses or all or part of its legal reserve and capital reserve, the Board of Directors is authorized to approve cash distribution by a resolution adopted by a majority vote at a meeting attended by at least two-thirds of the directors, and to report such distribution to the shareholders’ meeting. The requirement that distribution may only be made after approval by the shareholders’ meeting does not apply.

  • Ex-dividend Authorization:The Chairman is authorized to set the ex-dividend record date, payment date, and handle other related matters in accordance with the Company Act and related regulations.
  • Dividend Payout Rate Adjustment:If the dividend payout rate needs to be adjusted due to changes in laws or regulations, adjustments by competent authorities, or changes in the Company’s common share capital before the ex-dividend record date that affect the number of outstanding shares, the Chairman is authorized to make such adjustments in accordance with the Company Act and related regulations.

  • Definition of Distributable Earnings:Refers to “beginning undistributed earnings / accumulated losses to be offset” plus “current-year profit or loss after payment of taxes, offsetting of losses, appropriation of legal reserve and special reserve in accordance with relevant laws and regulations, and other adjustments or reversals, as required by the Company Act.”
